Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and RedRooster Technologies Inc. ("Company," "we," "us," or "our"), governing your access to and use of the HELM application, website (helm.lanaai.io), and all related services (collectively, the "Service").

By downloading, installing, accessing, or using HELM, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not use the Service.

You represent that you are at least 18 years of age, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into these Terms. If you are using HELM on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

HELM is an AI-powered terminal application available for macOS and Windows that provides:

• AI-assisted chat for answering technical questions within the terminal
• Command explanation and breakdown of flags, arguments, and risks
• Intelligent command suggestions based on your workflow context
• Multi-tab terminal sessions with memory tracking
• Session recording and history

The Service includes both the desktop application and the web platform at helm.lanaai.io, which provides account management, billing, usage tracking, and download access.

3. Account Registration and Security

To access certain features of HELM, you must create an account by providing your name, email address, and a password. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your password (minimum 8 characters, including at least one uppercase letter and one number)
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, incomplete, or if we reasonably believe your account has been compromised or is being used in violation of these Terms.

4. Subscription Plans and Pricing

HELM offers the following subscription tiers:

AI call limits reset at the beginning of each calendar month. Unused calls do not roll over. We reserve the right to modify pricing, features, or usage limits with reasonable notice to affected subscribers.

Paid subscriptions are billed on a recurring basis through Stripe. By subscribing to a paid plan, you authorize us to charge your selected payment method on a recurring basis until you cancel. All fees are non-refundable except as required by applicable law.

5. Bring Your Own Key (BYOK)

If you subscribe to the BYOK plan, you are responsible for providing and managing your own third-party API key (e.g., OpenAI API key). You acknowledge and agree that:

• Your use of third-party API keys is subject to the terms and conditions of the respective third-party provider
• We are not responsible for any charges, rate limits, or restrictions imposed by third-party API providers
• You are solely responsible for the security and proper use of your API keys
• We do not store your third-party API keys on our servers; they are stored locally on your device

6. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation
• Generate, store, or transmit malicious code, malware, or any code designed to harm systems or data
• Attempt to gain unauthorized access to any systems, networks, or accounts
• Circumvent, disable, or interfere with security features or usage limits of the Service
• Use the AI features to generate content that is harmful, illegal, abusive, harassing, or violates third-party rights
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of HELM
• Sublicense, resell, rent, lease, or redistribute the Service to third parties
• Use automated scripts, bots, or scrapers to access the Service beyond normal usage
• Interfere with or disrupt the integrity or performance of the Service
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this provision, including removal of content, suspension or termination of the account, and reporting to law enforcement authorities.

7. AI-Generated Content and Limitations

HELM uses artificial intelligence to provide responses, explanations, and command suggestions. You acknowledge and agree that:

• AI-generated content may not always be accurate, complete, or appropriate for your specific use case
• You are solely responsible for reviewing, verifying, and testing any commands, code, or suggestions provided by HELM before executing them
• We are not liable for any damage, data loss, or system issues resulting from the execution of AI-generated commands or code
• AI-generated content does not constitute professional, legal, financial, or technical advice
• The quality and availability of AI features may vary and are subject to third-party service availability

You use AI-generated content at your own risk. We strongly recommend reviewing all suggested commands and understanding their effects before execution, particularly commands that modify files, system configurations, or network settings.

8. Intellectual Property Rights

The Service, including its original content, features, functionality, design, and all associated intellectual property rights, is and will remain the exclusive property of RedRooster Technologies Inc. and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use HELM on devices you own or control, solely for your personal or internal business purposes.

You retain ownership of any content you create using the Service. However, any terminal commands, session data, or queries you submit through the Service may be processed by our servers and third-party AI providers as necessary to deliver the Service.

9. Payment, Billing, and Cancellation

All payments are processed securely through Stripe, Inc. We do not store your full credit card number, CVV, or other sensitive payment details on our servers. By providing your payment information, you authorize Stripe to process charges on your behalf.

Cancellation: You may cancel your subscription at any time through the billing portal accessible from your dashboard. Upon cancellation, your subscription will remain active until the end of the current billing period. After that, your account will revert to the Free tier.

Failed Payments: If a payment fails, we may attempt to charge your payment method again. If payment cannot be collected, your subscription may be suspended or downgraded to the Free tier.

Promotional Pricing: We may offer promotional pricing or launch discounts from time to time. These promotions are subject to specific terms communicated at the time of the offer and may be modified or discontinued at our discretion.

10. Termination

By You: You may terminate your account at any time by using the "Delete Account" feature in your account settings. Upon deletion, we will:

• Cancel any active subscriptions
• Delete your account data from our database, including your profile, usage history, and session records
• Delete your customer record and payment methods from Stripe
• Remove your session and authentication data

By Us: We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms, fraudulent activity, or extended periods of inactivity.

Upon termination, your right to use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

11. Disclaimers and Warranty Limitations

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

REDROOSTER TECHNOLOGIES INC. DOES NOT WARRANT THAT: (A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (D) THE AI-GENERATED CONTENT WILL BE ACCURATE, RELIABLE, OR COMPLETE; OR (E) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

Some jurisdictions do not allow the exclusion of certain warranties. In such cases, the above exclusions may not apply to you, and you may have additional rights that vary by jurisdiction.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REDROOSTER TECHNOLOGIES INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of, or inability to access or use, the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service, including AI-generated content
• Unauthorized access, use, or alteration of your transmissions or content
• Execution of commands or code suggested or generated by the AI features
• Data loss, system damage, or security breaches related to your use of the Service

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to defend, indemnify, and hold harmless RedRooster Technologies Inc. and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Service, your use of any AI-generated content, or your violation of any rights of a third party.

14. Third-Party Services

The Service integrates with and relies upon third-party services, including but not limited to:

• OpenAI — For AI-powered chat, command explanation, and suggestion features
• Stripe — For payment processing and subscription management
• Google Analytics / Google Tag Manager — For website analytics and usage insights
• Firebase — For analytics event storage and backend services
• MongoDB Atlas — For database hosting and data storage
• Cloudflare — For DNS, CDN, and DDoS protection

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices, content, or availability of third-party services. We do not endorse and are not responsible or liable for any content, advertising, products, or other materials provided by third parties.

15. Rate Limiting and Fair Use

To ensure the stability and availability of the Service for all users, we implement rate limiting on API requests and form submissions. Excessive or abusive usage may result in temporary throttling or suspension of access. We reserve the right to enforce reasonable usage limits and to modify these limits as necessary to maintain service quality.

16. Updates and Modifications

We may release updates, patches, or new versions of the HELM application from time to time. While we may notify you of available updates, you are responsible for installing them. Some updates may be required to continue using the Service.

We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or the courts of competent jurisdiction in the State of New York.

18. Changes to These Terms

We reserve the right to update or modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent.

20. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and RedRooster Technologies Inc. concerning the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and us.
